Terms of Service

This English version is provided for convenience only. The Traditional Chinese version is the legally binding version.

Welcome to ClawCloud (the "Service"). The Service is provided by the ClawCloud development team ("we", "us"). By registering or using the Service, you confirm that you have read, understood, and agree to these Terms of Service in full.

1. Service scope and account security

  • Service description: ClawCloud offers OpenClaw AI agent cloud hosting, Telegram bot integration, and related API proxying and billing.
  • Account registration: You must provide a valid, complete email for verification. You're responsible for safeguarding your account and password; any actions taken via your account are deemed your own.
  • Third-party integrations: You must obtain your own Bot Token from Telegram. We only host and proxy — we are not liable for feature loss caused by Telegram policy changes, server issues, or service interruptions.

2. Subscriptions, fees, and Credits

  • Cross-border payments: The Service uses a subscription model (Starter / Pro). All transactions are processed via Polar. You are responsible for any cross-border transaction fees or taxes that may apply in your country or region.
  • Credit accounting and consumption:
    • Credits split into a "monthly pool" and a "permanent pool (top-up)". The monthly pool is consumed first.
    • Ratios for input tokens, output tokens, and search are set by the latest rates published on the Service's official website.
  • Upgrades, downgrades, and refunds:
    • Upgrade: Uses "top-up the difference" logic. The system immediately raises your credit limit and adds the corresponding credits.
    • Downgrade: You may continue to use the original plan's features until the current billing cycle ends. The new plan's allowance takes effect on the next cycle.
    • Refunds: Because API credits and cloud hosting are consumable digital resources, once you subscribe, top up, or start using the Service, refunds are not offered except where required by applicable law.
  • Welcome credits: New users receive 1,000 credits after verifying their email.

3. Container lifecycle

  • Normal operation: While your subscription is active, we keep your dedicated OpenClaw sandbox container running.
  • Dormant / stop logic:
    • If no conversational activity is detected for 72 consecutive hours (3 days), the system automatically enters a dormant / stopped state to conserve resources.
    • After the container stops, you can restart it anytime from the dashboard.

4. Compliance and Acceptable Use Policy (AUP)

The Service is global. You agree to comply with your local laws, general international standards, and the relevant laws of the Republic of China (Taiwan). The following uses of the Service or your hosted OpenClaw agent are strictly prohibited. Violations may result in immediate service termination, container deletion, and balance forfeiture without prior notice:

  • Malicious attacks and disruption: Scraping attacks, DDoS, brute-forcing, unauthorized intrusion against any server, or attempts to disrupt Docker Swarm cluster stability.
  • Illegal content and fraud: Generating, transmitting, or distributing fraudulent content, pornography, hate speech, or any material that breaks local law.
  • IP infringement: Unauthorized use or distribution of content covered by copyright, trademark, or patent protections.

5. Safe harbor and disclaimers

  • Neutral platform: ClawCloud provides only a "technical tool and neutral cloud hosting platform". We do not participate in, review, or interfere with customers' prompt creation or instruction issuance.
  • Content disclaimer: Consistent with international safe-harbor norms (including the spirit of Section 230 of the U.S. Communications Decency Act), we are not responsible for any content generated or transmitted by users or their AI agents. Users bear full legal responsibility for the outputs and actions of their AI agents.
  • Service interruptions: We are not liable for business losses caused by temporary interruptions due to cloud infrastructure failures, API vendor issues, or force majeure.

6. Indemnification

If your breach of these Terms, illegal activity, or content produced by you (or your AI agent) causes the ClawCloud development team to face any third-party claims, litigation, or administrative penalties, you agree to fully indemnify us for all resulting losses, including but not limited to litigation costs, attorneys' fees, settlements, and related penalties.
